These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "user") and UrbFact ("we," "us," "our," "the Company"), governing your access to and use of the website located at urbfact.com, including all subdomains, pages, features, content, data, tools, applications, and services made available through the website (collectively, the "Site"). By accessing, browsing, registering an account on, or otherwise using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you are not authorized to use the Site and must immediately discontinue all access and use. We reserve the right, in our sole discretion, to modify, amend, or replace these Terms at any time by posting the revised Terms on the Site with an updated "Last updated" date. Your continued use of the Site after any such changes constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes. These Terms were last updated on the date indicated at the top of this page.
1. Eligibility
The Site is intended for use by individuals who are at least eighteen (18) years of age, or the age of legal majority in their jurisdiction of residence, whichever is greater. By using the Site, you represent and warrant that you are at least eighteen (18) years of age, that you have the legal capacity and authority to enter into this Agreement, and that you will use the Site in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. If you are using the Site on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" and "your" shall include both you individually and the entity you represent. We reserve the right to refuse access to the Site to anyone for any reason at any time, in our sole and absolute discretion. The Site is not directed to, and should not be used by, children under the age of thirteen (13). We do not knowingly collect personal information from children under thirteen (13). If we learn that we have collected personal information from a child under thirteen (13), we will promptly take steps to delete such information.
2. Description of the Site
UrbFact is an informational, educational, and research platform that aggregates, organizes, and presents publicly available data about cities, towns, counties, metro areas, states, and countries from government agencies and open data sources. The Site provides users with access to statistical data including, but not limited to, population demographics, median household income, housing values and rental costs, crime statistics, weather and climate data, educational institutions, healthcare facilities, natural disaster history, cost of living comparisons, and other geographic and socioeconomic indicators. The Site also offers interactive tools including a city search engine, a city-to-city comparison tool, a city rankings system, a City Finder with customizable filters, a Cost of Living Calculator, interactive maps, and various other data exploration and visualization features. The Site is provided free of charge and is supported by third-party advertising. All data presented on the Site is sourced from publicly available datasets and is intended solely for general informational purposes. The Site does not provide professional advice of any kind, including but not limited to financial, legal, medical, real estate, tax, insurance, or investment advice.
3. User Accounts
Certain features of the Site may require you to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as requested by the registration form, and to update such information promptly if it changes. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us at [email protected] of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. We reserve the right to suspend, disable, or terminate your account at any time, for any reason or no reason, in our sole discretion, including but not limited to if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or created risk or possible legal exposure for us. You may delete your account at any time by contacting us at [email protected], and upon such request, we will delete your account data in accordance with our Privacy Policy and applicable data retention requirements.
4. Permitted Use and License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial, educational, journalistic, or research purposes. This license does not include the right to: (a) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Site or any content thereon; (b) use any robot, spider, scraper, crawler, data mining tool, or other automated device, process, or means to access, retrieve, index, collect, harvest, or "scrape" data from the Site, or otherwise systematically extract data from the Site; (c) access or use the Site in any manner that could disable, overburden, damage, interfere with, or impair the Site or any server, network, or system connected to the Site; (d) use the Site to transmit any computer viruses, worms, trojan horses, or other malicious code; (e) use the Site to send unsolicited commercial communications, spam, or chain letters; (f) attempt to gain unauthorized access to any portion or feature of the Site, any other systems or networks connected to the Site, or any of our servers by hacking, password mining, or any other illegitimate means; (g) reproduce, redistribute, republish, sell, resell, license, sublicense, or otherwise commercially exploit any substantial portion of the data, content, or materials available on the Site without our prior written consent; (h) use the Site to compete with UrbFact or to build a similar or competitive product or service; (i) frame, mirror, or otherwise incorporate any part of the Site into any other website, application, or service without our express prior written permission; or (j) use the Site in any manner that violates any applicable law, regulation, or these Terms. We reserve the right to take any action we deem necessary to enforce these restrictions, including but not limited to blocking IP addresses, suspending accounts, and pursuing legal remedies.
5. Data Sources, Accuracy, and Disclaimer of Warranties
All statistical, demographic, geographic, economic, environmental, educational, and infrastructure data displayed on the Site is sourced from publicly available datasets published by United States federal government agencies, Canadian government agencies, international organizations, and reputable open data providers, including but not limited to: the United States Census Bureau (American Community Survey 5-Year Estimates), the Bureau of Labor Statistics (BLS), the Federal Bureau of Investigation (FBI Uniform Crime Reporting Program), the National Oceanic and Atmospheric Administration (NOAA), the United States Geological Survey (USGS), the National Center for Education Statistics (NCES), the Centers for Medicare and Medicaid Services (CMS), the Federal Communications Commission (FCC), the National Interagency Fire Center (NIFC), Zillow Group Inc. (Zillow Home Value Index), and GeoNames (Creative Commons Attribution 4.0 License). UrbFact is an independent, privately operated website and is not affiliated with, endorsed by, sponsored by, licensed by, or officially connected with any of these agencies, organizations, or companies. All agency and organization names are used solely for the purpose of accurate data attribution.
THE SITE AND ALL CONTENT, DATA, INFORMATION, SCORES, RANKINGS, GRADES, COMPARISONS, CALCULATIONS, TOOLS, FEATURES, AND OTHER MATERIALS AVAILABLE ON OR THROUGH THE SITE ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, URBFACT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, AVAILABILITY, COMPATIBILITY, AND FREEDOM FROM COMPUTER VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DATA, CONTENT, OR INFORMATION OBTAINED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE. WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS. Government datasets are subject to revision, correction, delayed publication, and periodic updates by the issuing agencies, and the data displayed on this Site may not reflect the most recently available figures or may contain errors present in the source data. City scores, rankings, grades, and composite indices displayed on the Site are calculated algorithmically using our proprietary methodology and represent our computational interpretation of the underlying public data. These scores are not official government ratings, endorsements, or certifications. Different methodologies, weightings, data sources, or time periods may produce materially different results. YOUR USE OF THE SITE AND ANY DATA, CONTENT, OR INFORMATION OBTAINED FROM THE SITE IS AT YOUR OWN SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM URBFACT OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
6. Intellectual Property Rights
The Site, including its design, layout, look and feel, text, graphics, logos, icons, images, audio and video clips, digital downloads, data compilations, software, source code, algorithms, methodologies for computing city scores and rankings, and the selection, coordination, arrangement, and organization of the foregoing (collectively, the "Site Content") are the exclusive property of UrbFact or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The UrbFact name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UrbFact. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners. The underlying government data aggregated and displayed on the Site is in the public domain as works of the United States government and may be freely used by anyone. However, our unique compilation, organization, formatting, presentation, scoring methodologies, algorithms, editorial commentary, original descriptions, and value-added analysis of such data constitute original works of authorship protected by copyright law. You may not copy, reproduce, modify, distribute, display, perform, create derivative works from, republish, download, store, transmit, sell, or otherwise exploit any portion of the Site Content except as expressly permitted in these Terms, without our prior written consent. Any unauthorized use of the Site Content may violate copyright, trademark, and other applicable laws and could result in civil or criminal penalties.
7. User Conduct
You agree that you will not use the Site in any manner that: (a) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, or otherwise objectionable; (b) constitutes unauthorized or unsolicited advertising, junk or bulk email (spam), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling; (c) involves commercial activities or sales without our prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes; (d) infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party; (e) impersonates any person or entity, including but not limited to an UrbFact employee, or falsely states or otherwise misrepresents your affiliation with a person or entity; (f) interferes with or disrupts the Site or the servers and networks connected to the Site, or violates the regulations, policies, or procedures of such networks; (g) involves uploading, posting, transmitting, or otherwise making available any material that contains software viruses, worms, trojan horses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment; (h) involves circumventing, disabling, or otherwise interfering with security-related features of the Site, including features that prevent or restrict the use or copying of any Site Content; (i) involves forging headers or otherwise manipulating identifiers in order to disguise the origin of any content transmitted through the Site; or (j) involves using automated means, including spiders, robots, crawlers, data mining tools, or similar tools to download or scrape data from the Site, except for internet search engines and non-commercial public archives that comply with our robots.txt file. We reserve the right to investigate violations of these Terms, and we may, in our sole discretion, immediately terminate your access to the Site or take other appropriate action, including reporting you to law enforcement authorities, if we believe you have violated these Terms.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URBFACT, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, INCOME, GOODWILL, USE, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES (EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON OR THROUGH THE SITE; (C) ANY CONTENT, DATA, INFORMATION, SCORES, RANKINGS, OR MATERIALS OBTAINED FROM OR THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY; (D) ANY ERRORS, INACCURACIES, OMISSIONS, OR MISLEADING INFORMATION IN THE DATA OR CONTENT DISPLAYED ON THE SITE; (E) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (F) ANY DECISION MADE, ACTION TAKEN, OR FAILURE TO ACT IN RELIANCE ON ANY DATA, INFORMATION, SCORE, RANKING, COMPARISON, CALCULATION, OR OTHER CONTENT OBTAINED FROM THE SITE, INCLUDING BUT NOT LIMITED TO DECISIONS RELATED TO REAL ESTATE PURCHASES OR SALES, FINANCIAL INVESTMENTS, RELOCATION, EMPLOYMENT, EDUCATION, INSURANCE, HEALTHCARE, SAFETY, OR ANY OTHER PERSONAL OR BUSINESS MATTER; (G) ANY INTERRUPTION, SUSPENSION, MODIFICATION, OR TERMINATION OF THE SITE; OR (H) ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR HARMFUL CODE THAT MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100.00) OR THE TOTAL AMOUNT PAID BY YOU TO URBFACT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT THE RELEASED PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, IN WHICH CASE THE LIABILITY OF THE RELEASED PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless UrbFact, its owners, operators, officers, directors, employees, agents, licensors, suppliers, affiliates, successors, and assigns from and against any and all claims, actions, suits, proceedings, investigations, liabilities, obligations, damages, losses, costs, debts, penalties, fines, and expenses (including but not limited to reasonable attorneys' fees, court costs, expert witness fees, costs of investigation, and costs of enforcement) arising out of, relating to, or resulting from: (a) your access to or use of the Site, or any activity conducted through your account; (b) your breach or alleged breach of any term, condition, representation, or warranty contained in these Terms; (c) your violation or alleged violation of any applicable federal, state, local, or international law, statute, rule, regulation, ordinance, or treaty; (d) your infringement or alleged infringement of any intellectual property, privacy, publicity, or other proprietary rights of any person or entity; (e) any content, data, materials, or information you submit, post, upload, transmit, or otherwise make available through the Site; (f) your negligent, reckless, or willful misconduct; or (g) any dispute or issue between you and any third party arising out of or in connection with the Site. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without our prior written consent. This indemnification obligation shall survive the termination of these Terms, the termination of your account, and your cessation of use of the Site.
10. Third-Party Links, Services, and Advertising
The Site may contain hyperlinks to websites, applications, or services operated by third parties, including but not limited to government agency websites, data source portals, advertiser websites, and other external resources. These links are provided solely for your convenience and informational purposes. The inclusion of any link does not imply our endorsement, sponsorship, recommendation, or approval of the linked website or any association with its operators. We have no control over, and assume no responsibility or liability for, the content, accuracy, privacy policies, terms of service, practices, opinions, products, services, or availability of any third-party websites or resources. If you access any third-party website through a link on the Site, you do so at your own risk and subject to the terms and conditions of use and privacy policies for such websites. We display third-party advertisements on the Site through Google AdSense and potentially other advertising networks. We are not responsible for the content, accuracy, or opinions expressed in any advertisements, and such advertisements do not constitute our endorsement of any product, service, or company. 11. Termination
We may, in our sole and absolute discretion, at any time and for any reason or no reason, with or without prior notice or liability, suspend, restrict, or terminate your access to all or any part of the Site, disable your account (if applicable), or cease providing the Site or any features thereof. Reasons for termination may include, without limitation: (a) breach or violation of these Terms; (b) a request by you to delete your account; (c) a request or order by law enforcement or a governmental authority; (d) discontinuance or material modification of the Site or any feature or service offered through the Site; (e) unexpected technical, security, or legal issues or problems; (f) extended periods of inactivity; or (g) engagement by you in fraudulent, illegal, or harmful activity. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions. We shall not be liable to you or any third party for any termination of your access to the Site or deletion of your account.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms, shall be governed by and construed in accordance with the laws of the United States of America, without giving effect to any choice of law or conflict of law provisions or rules that would cause the application of the laws of any other jurisdiction. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the state in which UrbFact primarily operates, and each party irrevocably submits to the exclusive personal jurisdiction and venue of such courts in any such suit, action, or proceeding and waives any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts, including any objection based on the doctrine of forum non conveniens. The prevailing party in any legal action arising out of these Terms shall be entitled to recover its reasonable attorneys' fees, costs, and expenses from the non-prevailing party, in addition to any other relief to which it may be entitled.
13. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, you agree to first attempt to resolve the dispute informally by contacting us at [email protected] with a written description of the dispute, including all relevant facts and your requested resolution. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within thirty (30) days, either party may pursue formal legal proceedings as described in Section 12 above. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction for the purpose of restraining actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
14. Waiver and Severability
No waiver by UrbFact of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of UrbFact to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of UrbFact. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of these Terms will continue in full force and effect. The invalidity or unenforceability of any provision of these Terms in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction or the validity or enforceability of any other provision of these Terms.
15. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by us on the Site, constitute the sole and entire agreement between you and UrbFact regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications, both written and oral, regarding the Site. No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by both parties, except that UrbFact may modify these Terms by posting revised Terms on the Site as described herein. Any terms and conditions proposed by you that are in addition to or that conflict with these Terms are expressly rejected by UrbFact and shall have no force or effect.
16. Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment, transfer, delegation, or sublicense in violation of this section shall be null and void. We may freely assign, transfer, or delegate our rights and obligations under these Terms without restriction and without notice to you, including in connection with any merger, acquisition, reorganization, sale of assets, or other corporate transaction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.
17. Force Majeure
UrbFact shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, earthquakes, floods, hurricanes, tornadoes, fires, epidemics, pandemics, war, terrorism, riots, civil unrest, embargoes, sanctions, government orders, labor disputes, strikes, lockouts, shortages of labor or materials, power outages, internet or telecommunications failures, cyberattacks, distributed denial-of-service attacks, hacking incidents, failures of third-party service providers (including hosting providers, CDN providers, and DNS providers), changes in applicable law or regulation, and any other events beyond the reasonable control of UrbFact. During any such event, our obligations under these Terms shall be suspended for the duration of the event, and we shall not be liable for any damages, losses, or consequences resulting from such suspension.
